Terms of Service

Effective date: May 23, 2026

These Terms of Service ("Terms") are a legal agreement between Terry Health Inc., doing business as Anywrks ("Anywrks," "we," "our," or "us"), and you or the organization you represent ("Provider Organization" or "you"). By creating an account or using the Anywrks platform, you agree to be bound by these Terms.

If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree to these Terms, do not use Anywrks.


1. Description of Service

Anywrks is a software-as-a-service (SaaS) platform that enables Provider Organizations to:

  • Digitally onboard new employees through customizable form packets
  • Collect and store employment documents (W-4s, I-9s, direct deposit authorizations, and more)
  • Track certification compliance and expiration dates
  • Manage employee records for audit readiness

Anywrks is a platform for document collection and workflow management. We are not a legal, tax, or HR advisory service. The accuracy and legality of the information submitted through our platform is the responsibility of the Provider Organization and its employees.


2. Account Registration & Responsibilities

  • You must provide accurate and complete information when creating an account. You are responsible for keeping your account credentials secure.
  • You are responsible for all activity that occurs under your account, including activity by sub-users (additional admin accounts) you create.
  • You must notify us immediately at legal@anywrks.com if you suspect unauthorized access to your account.
  • One master account is created per organization. Additional admin users are available on the Growth and Enterprise plans.

3. Acceptable Use

You agree to use Anywrks only for lawful purposes. You may not:

  • Use the platform to collect data from individuals without their knowledge or consent
  • Upload malicious files, malware, or content that violates applicable laws
  • Attempt to reverse-engineer, copy, or scrape any part of the Anywrks platform
  • Share your account credentials with individuals outside your organization
  • Use the platform in any way that violates federal or state employment laws, including the Fair Labor Standards Act, Title VII, the Americans with Disabilities Act, or I-9 verification requirements
  • Represent Anywrks as providing legal, tax, or HR legal advice

4. Data Ownership

You own your data. All employee information, documents, and records submitted through Anywrks belong to your organization. Anywrks does not claim ownership of your data.

By using Anywrks, you grant us a limited, non-exclusive license to store, process, and transmit your data solely for the purpose of providing the service to you.

You are responsible for ensuring you have the legal right to collect and store the employee information submitted through the platform, and that employees have been properly informed and have consented as required by applicable law.


5. Subscription Plans & Billing

  • Anywrks is available on a subscription basis. Pricing is billed annually unless otherwise agreed in writing.
  • Subscriptions automatically renew at the end of each billing period. You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • We reserve the right to change pricing with 30 days' written notice. Price changes will not take effect until your next renewal period.
  • All fees are non-refundable except as required by law or as expressly stated in a separate agreement.
  • If payment fails, your account may be suspended after a grace period of 7 days. Data may be retained for a reasonable period following suspension or termination to facilitate account recovery, legal compliance, backup restoration, and operational requirements. Data deletion timelines may vary based on applicable laws and retention obligations.

6. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party in connection with this agreement. Anywrks will not disclose your organization's data or employee information to third parties except as described in our Privacy Policy or as required by law.


7. Security Obligations

Anywrks maintains commercially reasonable administrative, technical, and organizational safeguards designed to protect customer data against unauthorized access, disclosure, or loss. For a full description of our security practices and infrastructure, see our Security page.

You are responsible for maintaining the security of your admin accounts, including enforcing strong passwords and enabling two-factor authentication for all admin users.


8. Termination

  • By you: You may cancel your subscription at any time through your account settings or by contacting us. Access continues through the end of the paid period.
  • By us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or use the platform in a way that creates legal or security risk. We will make reasonable efforts to provide notice before termination unless the breach requires immediate action.
  • Upon termination, you may request an export of your data within 30 days. After that period, your data will be deleted in accordance with our retention policy.

9. Disclaimer of Warranties

ANYWRKS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Anywrks is a document collection and workflow platform. We do not guarantee that use of the platform ensures legal compliance with I-9, W-4, or other regulatory requirements. You are responsible for ensuring your employment practices comply with applicable law.

HIPAA: Anywrks is not a healthcare records platform and is not intended for the storage of patient medical records or protected health information (PHI) unless otherwise agreed in writing. Provider Organizations must not upload PHI to the platform absent a separate written agreement addressing HIPAA compliance obligations.

Beta Features: From time to time, Anywrks may offer beta, preview, or experimental features. Such features are provided "as is" and may be modified, suspended, or discontinued at any time without notice or liability.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANYWRKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ANYWRKS IN THE 12 MONTHS PRECEDING THE CLAIM.


11. Indemnification

You agree to defend, indemnify, and hold harmless Anywrks, its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any data or content you submit through the platform, including any claim that such content infringes the rights of a third party.


12. Force Majeure

Neither party shall be liable for delays or failure to perform resulting from causes beyond its reasonable control, including but not limited to natural disasters, internet or network outages, cyberattacks, acts of government, labor disputes, pandemics, or failures of third-party infrastructure providers (including cloud hosting, database, or authentication services).


13. Governing Law & Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or your use of Anywrks shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in New Jersey, except that either party may seek injunctive relief in a court of competent jurisdiction.


14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify Provider Organizations by email and/or an in-app notice at least 14 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
